DIMMTECH PTY LTD Terms & Conditions

1. Pricing & Quotations

We aim to maintain pricing consistency; however, adjustments may be required in the event of supplier changes or scope variations. Any such changes will always be discussed and agreed upon in advance.

All prices are quoted in AUD and are exclusive of GST unless otherwise stated.
Quotations remain valid for 14 days from the date of issue.

2. Scope of Work

Our services are based on the scope outlined in the quotation or proposal.

If additional work or changes are required, we will:

  • Clearly communicate the variation
  • Provide a revised quote if needed
  • Proceed only after your approval

This ensures transparency and avoids unexpected costs.

3. Payment Terms

Our payment terms are structured to reflect the nature of each project and ensure a smooth delivery process.

  • Hardware Based Projects:
    Full payment is required prior to procurement and delivery of hardware. This allows us to secure equipment promptly and avoid delays in project timelines.
  • Service Based or Mixed Projects:
    Payment terms will be agreed upon with the client prior to project commencement, based on the scope and requirements of the work.
  • Final Handover:
    Regardless of the agreed structure, final delivery, system handover, or access to completed work will be provided once full payment has been received.

We are always happy to discuss flexible payment arrangements to suit specific project needs.

4. Delivery & Timeframes

We provide estimated delivery and project timelines based on current availability.

While we do our best to meet all timeframes, delays may occasionally occur due to factors outside our control (e.g. supplier or logistics delays). We will keep you informed throughout the process.

5. Installation & Services

Unless specifically included, quotations cover supply only.

If installation or configuration services are included:

  • We will coordinate scheduling with you
  • We ask that the site is ready (power, access, space)

Any unexpected site related delays may require rescheduling.

6. Client Responsibilities

To ensure a smooth project, we kindly ask clients to:

  • Provide accurate information and requirements
  • Ensure safe and timely access to the site
  • Arrange any necessary approvals

We will always work collaboratively to achieve the best outcome.

7. Warranty & Support

All hardware is covered by the manufacturer’s warranty.

DIMMTECH will:

  • Assist with warranty claims
  • Provide guidance and support where possible
8. Data & System Responsibility

DIMMTECH will perform all services, including data backup and migration, with reasonable care, skill, and in accordance with industry best practices.

Where backup services are included, DIMMTECH will take reasonable steps to ensure that backups are completed prior to any system changes.

The client remains responsible for:

  • Maintaining independent backups where possible
  • Verifying critical data requirements
  • Ensuring all necessary data has been provided

In the event that data loss is directly caused by DIMMTECH’s failure to follow agreed procedures or reasonable standards of care, DIMMTECH accepts responsibility, with liability limited to the value of the services provided.

DIMMTECH shall not be responsible for:

  • Pre-existing data issues or corruption
  • Incomplete or inaccessible data
  • Failures caused by third-party systems
  • Indirect or consequential losses
9. Variations

Any changes to the agreed scope will be discussed openly and confirmed in writing before proceeding. This ensures clarity for both parties.

10. Cancellations

If an order is cancelled after confirmation, we will work with you to minimise any impact.

Please note that costs already incurred (such as ordered equipment) may need to be recovered.

11. Ownership of Goods

Goods remain the property of DIMMTECH until full payment is completed. Once finalised, ownership transfers fully to the client.

12. Access & Scheduling

We will always aim to work around your schedule.

If access is unavailable at the agreed time, we may need to reschedule the work accordingly.

13. Force Majeure

We are not responsible for delays caused by events beyond reasonable control, but we will always communicate and work towards practical solutions.

14. Acceptance

Proceeding with the quotation or services indicates acceptance of these terms. We are always available to clarify any part before moving forward.
